Terms of Use and Sale

1. Acceptance of Terms

By downloading, installing, using, or purchasing a license for NexusPlayer ("the Application"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and Sale ("Terms"). If you do not accept these Terms, you must immediately stop using the Application and uninstall it from all your devices.

2. Nature of the Service

NexusPlayer is a generic media player software that allows users to play multimedia content from external sources configured by the user. The Application:

  • Does NOT provide, host, store, or distribute ANY content, TV channels, movies, series, or other media
  • Does NOT include ANY pre-configured servers, playlists, or content sources
  • Has NO affiliation with content providers or streaming services
  • Functions solely as a playback tool for user-provided sources, similar to other generic media players

3. User Responsibility and Legal Compliance

You are solely and entirely responsible for:

  • All content you access, stream, or view through the Application
  • The legality of all sources, playlists, or streams you configure
  • Compliance with all applicable copyright, intellectual property, and local laws in your jurisdiction
  • Obtaining appropriate licenses or permissions for any content you access
  • All consequences arising from your use of the Application

You acknowledge that NexusPlayer has no knowledge of and no control over the content you choose to access.

4. Prohibited Uses

You agree NOT to use the Application to:

  • Access, stream, or distribute copyrighted content without proper authorization
  • Infringe upon the intellectual property rights of third parties
  • Access content that violates applicable laws in your jurisdiction
  • Circumvent any technological protection measures
  • Engage in any illegal activity

Any violation of these prohibited uses constitutes a breach of these Terms and may result in immediate termination of your license.

5. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Application on devices you own or control. This license does not include the right to:

  • Modify, reverse-engineer, or decompile the Application
  • Redistribute, sublicense, or resell the Application
  • Use the Application for commercial purposes without authorization
  • Remove any copyright or proprietary notices

6. Subscriptions and Pricing

The Application offers different access plans:

  • Free Version: Limited access to basic player features
  • Free Trial: Time-limited trial period with access to premium features
  • Quarterly Subscription: Renewable license every 3 months
  • Annual Subscription: Renewable license every year
  • Lifetime License: One-time payment granting access to premium features for an unlimited duration, subject to the provisions of Section 11

Current pricing is displayed on the payment page and within the Application. We reserve the right to modify pricing at any time. Price changes do not affect current subscriptions until their next renewal.

7. Payment and Billing

Payments are processed by secure third-party providers:

  • Web Payment: Via Stripe, a PCI-DSS certified payment processor
  • In-App Purchases: Via Google Play Store or Apple App Store, depending on the platform

NexusPlayer does not store any banking data. All transactions are secured and encrypted by the payment providers. By proceeding with payment, you also accept the terms and conditions of the relevant payment provider.

Auto-renewing subscriptions will automatically renew at the end of each period unless cancelled by you before the renewal date. Cancellation takes effect at the end of the current period.

8. Refund Policy

As the Application is a digital product whose execution begins immediately upon activation, no right of withdrawal applies once the license has been activated.

By activating your license, you expressly acknowledge:

  • That the execution of the service begins immediately after payment
  • That you expressly waive your right of withdrawal

However, in the event of a proven technical malfunction entirely preventing the use of the software and attributable to NexusPlayer, a refund may be considered on a case-by-case basis upon request to support@nexusplayer.app within 14 days of purchase.

For purchases made through Google Play Store or Apple App Store, the refund policies of those platforms apply.

9. Service Availability and Infrastructure

NexusPlayer does not guarantee any level of availability (SLA) for its activation and license management servers. The service is provided on a "best effort" basis.

You acknowledge and accept that:

  • Servers may be temporarily unavailable for maintenance, updates, or any other technical reason
  • Service interruptions, planned or unplanned, may occur at any time without prior notice
  • Speed, latency, and quality of access to the service depend on factors beyond our control (Internet connection, network, user hardware)
  • The Application will continue to function in offline/degraded mode during temporary server unavailability, depending on supported features

No compensation, indemnification, or refund shall be granted in the event of service interruption, regardless of its duration or cause.

10. Force Majeure

NexusPlayer shall not be held liable for the non-performance or delay in the performance of its obligations resulting from a force majeure event. The following are notably considered as force majeure events:

  • Seizure or confiscation of servers by a judicial, administrative, or governmental authority
  • Court order, injunction, or requisition preventing the continuation of the service
  • Cyberattacks, hacking, DDoS attacks, or any other malicious act by third parties
  • Failure of the hosting provider or network infrastructure (data center, cloud provider)
  • Natural disasters, fires, floods, earthquakes
  • Pandemics, epidemics, or health crises
  • Wars, riots, insurrections, acts of terrorism, international sanctions
  • Strikes, labor disputes, blockades
  • Legislative or regulatory changes making it impossible to continue the service
  • General Internet or telecommunications network failure
  • Any other cause beyond the reasonable control of NexusPlayer

In the event of force majeure, NexusPlayer's obligations are suspended for the duration of the event. If the force majeure event continues for more than 90 consecutive days, either party may terminate the contract without any compensation being owed by either party.

In the event of permanent cessation of service due to force majeure, current subscriptions shall not give rise to any refund, even partial, for the remaining period.

11. Cessation of Service

NexusPlayer reserves the right to cease, suspend, or modify the service at any time, for any reason, including but not limited to:

  • Business decision to discontinue the service
  • Technical or economic impossibility of maintaining the infrastructure
  • Legal or regulatory obligation
  • Force majeure event (as defined in Section 10)

In the event of voluntary and planned cessation of service, NexusPlayer will endeavor to inform users with reasonable notice. No compensation or refund shall be owed, including for lifetime licenses, current subscriptions, or any prepaid unconsumed period.

The "Lifetime License" is understood as valid for the duration of the service's operation by NexusPlayer, and not as a guarantee of perpetual availability. It automatically terminates upon permanent cessation of the service.

12. Disclaimer of Warranties

THE APPLICATION AND ITS ASSOCIATED SERVERS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Merchantability and fitness for a particular purpose
  • Uninterrupted, continuous, or error-free operation of the service
  • Permanent availability of activation and license servers
  • Long-term sustainability of the service
  • Non-infringement of third-party rights
  • Accuracy, reliability, or completeness of any content accessible through the Application
  • Compatibility with all devices or operating systems

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • NexusPlayer, its developers, affiliates, and partners shall NOT be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Application or the unavailability of the service
  • We are NOT liable for any content accessible through the Application, including but not limited to its legality, accuracy, or appropriateness
  • We are NOT liable for actions taken by third parties, including content providers or streaming services
  • We are NOT liable for loss of user data, configurations, or playlists
  • We are NOT liable for damages resulting from temporary or permanent server unavailability
  • Our total liability, for all causes combined, shall in no event exceed the amount actually paid by the user during the 12 months preceding the event giving rise to liability

14. Indemnification

You agree to indemnify, defend, and hold harmless NexusPlayer, its developers, affiliates, officers, and partners from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of the Application
  • Your violation of these Terms
  • Your violation of third-party rights, including intellectual property rights
  • Any content you access through the Application

15. Copyright Claims

If you believe that content accessible through the Application infringes your copyright, please note that NexusPlayer does not host or control any content. You should contact the relevant content provider directly. For any concerns, you may contact us at: support@nexusplayer.app

16. Termination

We reserve the right to terminate or suspend your license immediately, without notice or refund, if you breach any provision of these Terms. Upon termination:

  • You must cease all use of the Application and delete it from all your devices
  • No refund will be issued for the remaining period of your subscription or license
  • Data associated with your account may be deleted

You may cancel your subscription at any time. Cancellation takes effect at the end of the current period. No pro-rata refund will be granted.

17. Personal Data Protection

The processing of your personal data is governed by our Privacy Policy. NexusPlayer collects only the data strictly necessary for the operation of the Service:

  • Device data: Device code, device identifier (Android ID), platform, model, registration date and last connection date
  • Payment data: Email address, Stripe customer ID, transaction details (plan, amount, currency, status), license type and expiration
  • Playlist data (cloud sync only): Playlist name, type, server URL, username, password (Xtream) or M3U URL — only when playlists are added via the website

Playlists added directly within the app are stored locally on your device and are not transmitted to our servers. We do not collect playback history, favorites, location, or advertising identifiers. Payments are processed securely by Stripe; we never have access to your full banking details.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will take effect immediately upon posting on this page. Your continued use of the Application after changes constitutes acceptance of the modified Terms. We recommend checking this page regularly.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

20. Governing Law and Jurisdiction

These Terms are governed by French law. Any dispute relating to the interpretation, performance, or termination of these Terms shall be subject to the exclusive jurisdiction of the competent French courts, subject to mandatory consumer protection rules applicable in the user's country of residence.

Users are informed that they may resort to conventional mediation procedures or any other alternative dispute resolution method in the event of a dispute.

Important Notice: By using NexusPlayer, you confirm that you understand the Application is simply a media player tool and that you assume full responsibility for the legality of the content you access. NexusPlayer expressly disclaims any responsibility regarding users' content choices. Purchasing a license only grants the right to use the player software and does not constitute a right to access any content whatsoever.
